Division 05 · Business Advisory & Valuations

The value of a business is set long before it goes to market.

Valuations, benchmarking, due diligence and transaction support — for buyers who need to know what they are really buying, and owners who want their eventual exit to be worth what the business is worth.

Services

Advice for the biggest financial decisions an owner makes.

Usually there are only two: buying the business, and leaving it.

01

Business valuation

An evidence-based view of what the business is worth and why — normalised earnings, the right multiple for the sector and the risks a buyer will price in.

  • Valuation for sale or purchase
  • Partner entry and exit
  • Family and estate purposes
  • Annual value tracking
02

Benchmarking & margin review

Your numbers measured against the right sector norms — gross profit by category, wages to sales, rent, stock turns — and turned into a short list of actions.

  • Gross profit and mix analysis
  • Wages and rostering review
  • Stock and working capital
  • Quarterly KPI reporting
03

Financial due diligence

Before you buy: earnings rebuilt from source, add-backs tested, script and revenue trends explained, lease and staffing risk assessed. The questions you need answered before you commit.

  • Normalisation of earnings
  • Add-back verification
  • Revenue and script trend analysis
  • Lease, staff and stock risk
04

Sale readiness & data packs

The work that turns a business into something a buyer’s financier will accept: documented add-backs, clean reporting, a lease with term and a data pack that survives scrutiny.

  • Sale readiness review
  • Information memorandum preparation
  • Data room and buyer Q&A
  • Lease and staffing preparation
05

Business sales & acquisitions

When a sale or purchase is the right answer, we can run it — from finding the right buyer or target to negotiating terms and coordinating settlement with your lawyer.

  • Buyer and target identification
  • Negotiation of price and terms
  • Heads of agreement
  • Settlement coordination
06

Succession planning

Family transfer, a staged buy-in by a key employee, partner exit or a full sale — designed years ahead and executed in order.

  • Succession options review
  • Staged buy-in structures
  • Partnership exit planning
  • Timeline and milestone plan
Our approach

Owners usually value their business once, at the worst moment.

Most business owners only find out what their business is worth when they are about to sell it — when it is too late to fix the lease, document the add-backs or restructure to preserve the CGT concessions. Buyers, meanwhile, often rely on the vendor’s numbers more than they should.

We work on both sides of that problem. For owners, value is tracked continuously and the business is prepared years ahead. For buyers, the vendor’s story is tested against the source data before money changes hands. And because the firm also handles the tax and lending, the after-tax and financeable outcome is part of every recommendation.

  • Deep sector knowledge in pharmacy and healthcare
  • Valuation and CGT position considered together
  • Due diligence tied directly to the lending submission
  • Transaction support through to settlement

Common questions

Questions about valuation and sale

Ideally two to three years. That is long enough to document add-backs, extend or renew the lease, clean up reporting and confirm eligibility for the small business CGT concessions while the structure can still be adjusted.

No. A business valuation assesses the value of the business and its goodwill based on earnings and risk. Property is valued separately, and real estate appraisals from our property division are price estimates, not formal valuations.

Yes. We regularly carry out financial due diligence for buyers, and can coordinate the purchase structure, finance and settlement with your lawyer and the vendor’s advisers.

No. Pharmacy and healthcare are where our sector data is deepest, but we value and advise on owner-operated businesses across many industries.

Your own lawyer. We do not provide legal services. We work closely with your lawyer on the commercial terms, financial schedules and settlement steps.
